We suppert businesses in structuring, setting up, and operating across the UAE and internationallyRole Overview :TFLC is seeking a highly experienced Corporate & M&A Lawyer to join our growing legal team. The ideal candidate will possess deep expertise in corporate advisory, transaction structuring, M&A execution, and cross-border deal management. This role requires excellent analytical skills, strong drafting ability, and a proven track record in handling complex commercial transactions.Key Responsibilities :Lead and manage end-to-end M&A transactions, including due diligence, drafting, negotiations, and closing.Advise clients on corporate structuring, joint ventures, shareholder agreements, and corporate governance matters.Draft, review, and negotiate commercial contracts and transaction documents (SPA, SHA, MOA, APA, etc.).Conduct legal risk assessments and provide strategic legal advice to clients on complex corporate matters.Manage cross-border transactions and coordinate with external stakeholders, regulators, and authorities.Advise on regulatory compliance, company formation, restructuring, and liquidation procedures.Support clients during investment rounds, acquisitions, divestments, and strategic partnerships.Prepare legal opinions, briefing notes, and memoranda on corporate and commercial matters.Represent clients in negotiations, board meetings, and high-level commercial discussions.Requirements :Masters in LawMinimum 10-15 years of post-qualification experience (PQE) in M&A.Extensive experience handling complex M&A transactions and corporate advisory matters.Strong knowledge of UAE corporate laws, commercial regulations, and free-zone frameworks.Exceptional drafting, negotiation, and analytical skills.Ability to manage multiple high-value projects simultaneously under tight deadlines.Strong communication and client-management capabilities.To Apply :Interested applicants may send their CVs to:career@tflc.ae
