The firm is dedicated to driving sustainable growth, managing reputational and regulatory risks, and empowering clients to achieve strategic objectives through high-impact advisory services.Role DescriptionWe are seeking a Corporate Services & Governance Officer with 5–7 years of experience working within a Corporate Service Provider, fiduciary services firm, or law firm corporate practice in the UAE. This role requires proven, hands-on company secretarial (CoSec) experience, including entity formation, statutory management, board support, resolutions drafting, and ongoing regulatory maintenance across ADGM, DIFC, DMCC, and Mainland UAE.The role supports both client-facing service delivery and internal governance for Pnyx Hill Group entities. You will manage entity portfolios end-to-end, interface with regulators and banks, maintain statutory records, and ensure compliance with governance requirements across multiple jurisdictions. The position requires ownership, accuracy, reliability, and strong stakeholder communication skills.This role reports directly to the Group Head of Corporate Affairs and can be based in Dubai or Abu Dhabi, depending on the candidate’s profile and operational fit.Key ResponsibilitiesCorporate Governance & CoSec AdministrationLead company formation, licensing, amendments, renewals, and corporate changes across ADGM, DIFC, DMCC, and Mainland environments.Maintain statutory registers, corporate records, and governance documentation for group and client entities.Draft and process board resolutions, shareholder resolutions, powers of attorney, share transfers, capitalization changes, and director appointments/removals.Coordinate AGMs, board meeting documentation, and minute preparation.Regulatory & Portal ManagementIndependently handle submissions and filings using ADGM, DIFC, DMCC, FTA, MOFA, and other free-zone / government portals.Liaise professionally with regulators, registered agents, auditors, law firms, and banking institutions.Client and Group SupportServe as a trusted point of contact for corporate services clients and internal stakeholders.Track compliance timelines and ensure proactive calendar management for renewals and regulatory milestones.Support internal finance with basic bookkeeping and reconciliations (invoices, payments, fee schedules).Process & Governance System ImprovementContribute to creating and refining governance workflows, templates, SOPs, and internal controls.Support governance structuring as the Group expands across EU, MENA, and Central Asia.Professional Experience & Core CompetenciesBachelor’s degree in Business, Law, Finance, Accounting, or related field (required).5–7 years Corporate Services / CoSec experience within a CSP or corporate governance environment.Essential: Hands-on CoSec administration experience including drafting resolutions and maintaining corporate records.Essential: Experience across ADGM and/or DIFC; additional experience in DMCC / Mainland is preferred.Proficiency with relevant regulatory portals (ADGM, DIFC, DMCC, FTA, MOFA, etc.).Strong understanding of UAE corporate structures, entity types, and regulatory frameworks.Strong English communication skills (written and verbal).High level of accuracy, professionalism, organization, and confidentiality.Ability to work independently and manage multiple entity portfolios simultaneously.PreferredExperience supporting clients in financial services, fintech, investment holding, asset management, or digital assets.Familiarity with bank account opening processes and compliance documentation.ICSA / Governance qualification (completed or in progress) is an advantage.What We OfferCompetitive salary + performance-based progression.Clear pathway to Senior Corporate Governance Officer / Manager level.Direct mentorship from the Group Head of Corporate Affairs.Exposure to multi-jurisdictional regulatory environments and complex corporate structures.Professional development support (ICSA / governance / compliance certifications).Modern, collaborative working cultureFlexible, hybrid working set up
