Thank you for your kind understanding.Role DescriptionWe are seeking a seasoned and strategic leader to join our senior management team as the Head of Corporate. This executive role is responsible for directing and overseeing all corporate legal and administrative affairs for our portfolio of international companies. The successful candidate will be a cornerstone of our global operations, ensuring robust corporate governance, efficient entity management, and seamless execution of strategic transactions across multiple jurisdictions. This position demands a leader with exceptional business acumen, extensive international experience, and the ability to navigate complex corporate structures. You will be instrumental in facilitating our global growth, managing corporate risk, and providing strategic counsel to the executive team and board of directors.Key Responsibilities:1. Corporate Governance & Compliance:Develop and implement a global corporate governance framework to ensure all international entities operate in compliance with local laws and global best practices.Oversee the corporate secretarial function, managing board meetings, resolutions, minutes, and statutory filings for all group companies.Act as the primary advisor to the Board and senior leadership on matters of corporate governance, director duties, and shareholder relations.Develop and enforce corporate policies, including signatory authorities and internal controls, to mitigate risk and ensure operational integrity.2. Strategic Transactions & M&A:Lead the legal execution of all corporate transactions, including mergers and acquisitions (M&A), joint ventures, divestitures, and corporate restructurings.Direct the end-to-end M&A legal process, from due diligence and structuring to negotiation of definitive agreements and post-closing integration.Collaborate closely with the corporate development, finance, and tax teams to ensure alignment on transaction strategy and execution.Manage external counsel and advisors effectively to deliver strategic projects on time and within budget.3. International Entity Management:Oversee the lifecycle of all legal entities within the group, from formation and registration in new markets to ongoing maintenance and eventual dissolution.Ensure all international subsidiaries are in good standing and meet their corporate compliance obligations in each respective jurisdiction.Manage intercompany agreements, transfer pricing documentation, and other arrangements to ensure an efficient and compliant international structure.Liaise with local directors, service providers, and authorities in countries where the group operates.4. Leadership & Strategic Counsel:Build, lead, and mentor a high-performing team of corporate legal professionals and administrators.Provide strategic, forward-thinking legal advice on corporate structuring to support international expansion and tax planning initiatives.Manage key relationships with external stakeholders, including corporate service providers, banks, and auditors.Oversee the corporate legal budget, focusing on efficiency and value.Qualifications and Experience:Qualified lawyer with a minimum of 12-15+ years of post-qualification experience in corporate law.Extensive experience gained from a top-tier international law firm combined with significant time spent in a senior in-house role within a multinational corporation.Proven track record of leading complex, cross-border M&A and corporate restructuring projects.Deep expertise in international corporate governance and entity management across diverse legal systems (common and civil law).Strong leadership skills with experience managing and developing a team of legal professionals.Exceptional business judgment and the ability to provide pragmatic, solution-oriented advice.Outstanding communication and influencing skills, with the credibility to advise senior executives and the board of directors.Must be adaptable, resilient, and willing to operate in a dynamic, fast-paced global environment.Education:LL.B., J.D., or equivalent law degree from a top-tier university.Admission to the Bar in a recognized jurisdiction.A postgraduate degree in business (MBA) or finance would be a strong asset.
