POSITION OVERVIEWThe Manager, Secretarial will reports to the Head, Legal & Secretarial is responsible to manage and enforce full compliance in relation to corporate secretarial and governance matters, and ensure proper and timely disclosure of information, to enable BHIC’s stakeholders to make an informed decision making and comply with the statutory and regulatory requirements.KEY RESPONSIBILITIESProvide support and recommendations to Head, Legal & Secretarial in corporate secretarial and governance matters, including but not limited to provision of report and implementation of monitoring system, to ensure that the objectives of the department are achieved.Ensure and enforce on corporate secretarial and governance related matters, including but not limited to maintaining statutory records & documents and timely disclosure of information, to ensure full compliance with statutory & regulatory requirements and Group’s policies, Standard Operating Procedures, Reserved Matters and Limit of Authority, in accordance with the assigned timelines.Provide and ensure provision of accurate corporate secretarial and governance advisory services and information to Board of Directors, Committees and internal and external customers and attend to governance issues, including but not limited to providing direction and facilitating requisition of approvals to ensure effective decision-making process.Manage, guide and attend Board meetings to ensure proper conduct and record of minutes.Manage and ensure provision of development programs to subordinates and Directors, including but not limited to sharing of knowledge and experience.Perform any other task and responsibilities align with the responsibilities and accountabilities from time to time whenever is needed.QUALIFICATIONS1. EducationBachelor of Laws (LL.B) from accredited law school or bachelor’s degree in Corporate Administration, Public Policy.Candidates who have been called to the Malaysian Bar would be an added advantage.2. ExperienceAt least 7 to 10 years of corporate secretarial experience, familiarity with a wide range of laws and regulations.Valid secretarial license from MAICSA or SSM.3. SkillsProficiency in English and Bahasa Melayu.Excellent drafting skills and attention to detail.Strong organisational, communication, and negotiating abilities, as well as the ability to efficiently handle many priorities.Companies Act 2016Bursa Listing RequirementsMalaysian Code of Corporate GovernanceSecurities Commission ActSSM Systems4. AttributesCapable of working independently and within tight deadlines.Able to work under pressure and enjoy working in a dynamic environment.
