Here, you’ll be supported to explore your potential, grow your expertise, and make a meaningful impact on a global scale.OverviewReporting to the Head of Corporate Governance & Risk Management Services within Artex Capital Solutions, the Assistant Vice President, Corporate Services is a Client Corporate Services and Company Secretarial role.How You'll Make An ImpactAct as Company Secretary to a portfolio of companies primarily reinsurance and fund companies established in Bermuda and the Cayman Islands taking full and active responsibility for all corporate services responsibilities including convening meetings of the Directors and Members, attending meetings, drafting minutes, attending to statutory filings, maintenance of statutory registers, corporate record keeping etc. Provide Company Secretary support for team members’ portfolios as and when required. Manage key client relationships and ensure exemplary client service standards are met. Collect initial and ongoing client KYC documentation and understand clients. Conduct annual reviews of client companies and monitor compliance with relevant domicile legislation including identifying and reporting on areas of non-compliance. Governance oversight of client portfolio and advising clients on robust corporate governance. Ensure all regulatory filings and reporting are timely undertaken and filed with the ROC and BMA. Conduct incorporations and BSX listings. Support Team initiatives and projects as and when required. Follow all policies and procedures in accordance with applicable laws, rules, regulations and Artex internal risk control standards, assisting the SVP, Head of Risk & Compliance with remedial actions for any Artex or Gallagher entity related non-compliance occurrences. Conduct annual reviews of entities and monitor compliance with relevant domicile legislation including identifying and reporting on areas of non-compliance. Ensure all regulatory filings and reporting are timely undertaken and filed with the ROC and BMA. Demonstrate appropriate knowledge of relevant AML/ATF legislation and applicable acts and regulation in the jurisdictions in which the Company operates. Ensure compliance with the same, including effective control management and appropriate governance oversight within your remit. Understand your clients and ensure relevant updated KYC documents are available. Collaborate with management and risk and compliance to escalate observed concerns or report matters that indicate a client is or is likely to be out of compliance. Where necessary, uphold utmost confidentiality of matters under investigation or instances where a report has been filed for suspicious activity. About YouProfessional chartered secretary qualification (or part-qualification)Minimum of six years prior experience in a corporate secretarial roleThorough knowledge of Bermuda company legislation and related ROC and BMA regulations. Technical background in and knowledge of Bermuda reinsurance and Fund industries’ regulatory, compliance and governance frameworks advantageous. Appropriate knowledge of AML/ATF legislation and requirements. Strong working knowledge of corporate administration processes and associated best practices. Action orientated, strategic thinker, proactive and responsive at all timesExcellent interpersonal, organisational and communication skillsHighly conscientious with the ability to meet tight deadlinesExcellent judgment and decision-making skillsProficiency in Microsoft Office and Viewpoint or other entity management systems
